We are currently seeking a Corporate Counsel reporting to Senior Corporate Counsel with a flexible work from home schedule option, but with the primary home base office residing in Orange County or West Los Angeles for the days you join your team at the office. In this role, your primary focus will be the legal component of lease and contract negotiations.

Rexford is one of the biggest industrial landlords in Southern California with over 336 properties and 1,555 tenants. Our Legal Department drafts approximately 500 lease documents per year. The Corporate Counsel plays an integral role in these transactions that are key to Rexford’s continued growth.

This attorney will assist the Senior Corporate Counsel with managing legal aspects of transactions, identify and evaluate issues, advise on, and formulate legal strategies to achieve Company objectives.  After gaining knowledge of Rexford Industrial and in-house leasing experience, this attorney will also lead select lease negotiations. Experience drafting and negotiating lease agreements is essential. Start date may be flexible to the extent a candidate needs to collect a year-end bonus with the candidate’s current employer.

Position Responsibilities:

  • Work with (and assist) the Senior Corporate Counsel with management of real estate leases and other lease related documents in a high volume, time sensitive environment.
  • Provide legal and business support to Rexford’s Leasing team in all aspects of leasing transactions from inception through post-lease execution, which includes advising business partners and internal departments on acceptable negotiated deal terms and risk tolerances, providing internal quality control/auditing for errors and legal issues, and providing legal opinions and guidance on complex real estate matters.
  • Provide legal support drafting and negotiating all types of documents pertaining to the leasing of industrial real estate, including, letters of intent, leaseback agreements, confidentiality agreements, commission/listing agreements, access agreements, estoppels and SNDAs.
  • Draft and negotiate leases, leasebacks agreements and related property operation documents, such as letters of intent, consents to assignments and subleases, access and license agreements, collateral lien waiver and lender access agreements, service agreements, billboard leases, satellite and telecom agreements, subordination agreements, track use agreements, commission and listing agreements, brokerage license agreements, solar lease agreements, and mineral rights agreements.
  • Collaborate with internal Director of Risk Management and Corporate Counsel, and outside environmental counsel with respect to environmental disclosures and risk assessment and mitigation.
  • Must be able to advise on complex legal matters, analyze legal (and business, where applicable) issues, negotiate legal and commercial issues and solve intricate problems using sound legal judgment and expertise, with minimal supervision.
  • Assist with general corporate matters (such as formation of special purpose entities) and compliance monitoring.
  • Assist with supervision of the paralegals in the Legal department regarding their leasing support and quality control of lease documentation production.

Essential Skills & Experience: 

  • JD from an accredited U.S. law school, member of the California Bar or registered in-house counsel and two (2) to five (5) years of extensive real estate focus similar in scope to the described responsibilities.
  • Must be a solutions-oriented and creative attorney who knows how to get challenging leasing deals across the finish line.
  • Must be able to communicate effectively with opposing attorneys representing Fortune 500 companies.
  • Must have commercial lease experience, industrial would be preferred.
  • Able to handle large volume of transactions and thrive in a fast-paced environment.
  • Exceptional interpersonal skills, a commitment to professionalism, integrity and collegiality, and the ability to work on a wide range of legal matters.
  • Must be an independent, self-directed, organized and diligent worker, and able to work with minimal supervision.
  • Able to work under tight deadlines, handle multiple, detailed tasks simultaneously and prioritize appropriately.
  • Ability to maintain strict confidentiality.
  • Must be able to anticipate problems and issues and exercise independent judgment while knowing when and to whom to escalate issues.
  • Bonus if you have experience with land use, construction issues and title.
